A.20 1 CLAUSOLA GENERALE La vendita dei prodotti di Master Italy Srl (di seguito “Prodotti”) è regolata dalle seguenti Condizioni Gene- rali di Vendita (di seguito “CGV”) che con l’emissione dell’ordine da parte del Cliente si intendono automa- ticamente accettate e costituiscono parte integrante del rapporto contrattuale tra Master Italy Srl (di se- guito “MASTER”) ed il Cliente. Qualsiasi modifica, ag- giunta o deroga è valida soltanto nel caso in cui sia stata accettata per iscritto da MASTER. 2 CONCLUSIONE DEL CONTRATTO, CONSEGNA E PASSAGGIO DEL RISCHIO Gli ordini di acquisto devono essere trasmessi per iscritto. La vendita si intende conclusa nel momento in cui MASTER abbia confermato per iscritto l’ordine pervenuto dal Cliente. Il termine di consegna è calco- lato in giorni lavorativi e decorre dalla data di accet- tazione dell’ordine da parte di MASTER, sempreché siano pervenuti a MASTER tutti i dati occorrenti per la corretta esecuzione della vendita. I termini per le consegne e il conseguente passaggio del rischio sono quelli indicati nella conferma d’ordine o fissati da di- versa pattuizione scritta tra le Parti, fatto salvo even- tuali ritardi dovuti a cause di forza maggiore. Nessun ritardo può costituire motivo per la richiesta di an- nullamento dell’ordine o di risarcimento di danni o di mancati utili, né la merce può essere rifiutata per tale causa. Per ordini di valore inferiore a 1.000 Euro (IVA esclusa) i costi di trasporto saranno sempre a carico del Cliente. MASTER si riserva il diritto di evadere l’or- dine anche attraverso consegne parziali, salvo espres- sa diversa pattuizione tra le parti. 3 PREZZO E PAGAMENTI Il prezzo dei Prodotti riportato in Listino è espresso in Euro, IVA esclusa e si riferisce ad un numero di pez- zi non inferiore alla confezione. Il prezzo dei Prodotti è da intendersi franco fabbrica (Ex-Works Incoterms 2010) presso i magazzini di MASTER. Restano esclu- si i costi per imposte, bolli, dogana, porto e qualsiasi altro diritto. I Pagamenti dovranno essere effettuati presso il domicilio fiscale della MASTER. Trascorsi i termini di pagamento indicati in conferma d’ordine, sugli importi dovuti matureranno interessi di mora calcolati sulla base di quanto previsto dal D.Lgs. nr. 231/2002 e s.m.itermini di consegna si intendono in- dicativi e non vincolanti. 1/1 CONDIZIONI DI VENDITA CONDITIONS OF SALE 1) GENERAL CLAUSE The sale of Master Italy Srl products (hereafter “Pro- ducts”) is governed by the following General Condi- tions of Sale (hereafter “GCS”) which, on the issuing of an order by a Client, are considered as automati- cally accepted, and make up an integral part of the contractual relationship between Master Italy Srl (he- reafter “Master”) and the Client. Any modification, supplement or waiver is only valid in the event it has been accepted in writing by MASTER. 2 CLOSURE OF THE CONTRACT, CONSIGNMENT AND TRANSFER OF RISK The purchase orders must be forwarded in writing. The sale in considered as agreed at the time in which MASTER has confirmed the order received from the Client in writing. The consignment time is calculated in working days and runs from the date of acceptan- ce of the order by MASTER, on condition that all the required data for the correct execution of the sale has been received by MASTER. The consignment ti- mes and consignment of the passage of risk are those indicated in the order confirmation or fixed by alter- native written agreement between the parties, with the exception of delays caused by matters of force majeure. No delay may be accepted as a reason to annul the order or as a reason for damages compen- sation, or of missed profits, nor may the goods be re- fused for such a reason. For orders with a value of less than 1,000 Euro (Ex VAT), the cost of transport shall always be at the expense of the Client. MASTER reserves the right handle the order even through par- tial consignments, unless expressly agreed otherwise between the parties. 3 PRICE AND PAYMENTS The price of products contained in the price list is expressed in Euros, Ex VAT, and refer to a number of items of no less than the contents of the package. The price of products is to be considered as ex works (In- coterms 2010) at the MASTER warehouses. Costs for taxes, stamp duty, customs, port and any other costs are excluded. Payments must be made to the MA- STER company address. The payment terms indicated on the order confirmation having expired, interest will be due on the sums owing, calculated on the basis of that set out in Legislative Decree No 231/2002 as subsequently amended. The consignment terms are intended as indicative and are not binding.
